These terms apply to the use of our website, to quotes, offers and agreements of Avonair, and to the use of Avonair Cockpit, unless agreed otherwise in writing.

For every collaboration there is one Avonair Cooperation Agreement. It governs service delivery, privacy, security, payment, ownership and termination. What is concretely delivered is set out in the quote: the chosen service, scope, architecture, and amounts. The quote is leading.

5. Specific terms for Avonair Cockpit

Avonair Cockpit is a custom business dashboard that brings a company's separate tools and data together. A Cockpit is composed per client of modules — including overview, social analytics, finance, clients and projects, team and agenda, and an AI assistant. Which modules are active is set out in the quote. The social module covering YouTube, Instagram and TikTok is universally available with pre-approved OAuth integrations. Other integrations (Gmail, Drive, calendar, accounting, CRM, etc.) are activated on request and recorded in the Cooperation Agreement.

Avonair Cockpit only fetches data from sources you connect yourself, shows data exclusively within your own Cockpit environment to authorised users, and takes no actions on your connected accounts without an explicit action from you.

Availability: Avonair Cockpit is an online service. We aim for continuous availability but are not liable for downtime outside our control. The APIs of connected services may change resulting in data being temporarily or permanently unavailable.

6. Prices and payment

Pricing structure at a high level: a one-time setup fee, a monthly fee within scope, and a token package for AI usage. Specific amounts are set per client in the quote. The monthly fee is invoiced in advance at the start of the calendar month.

7. Client cooperation

For a project to run well we need timely cooperation and accurate information from the client. Delay arising from this is outside our control.

8. Intellectual property and what you take with you on termination

Avonair Cockpit is a service provided by Avonair. The intellectual property in the software, the underlying code and the generic components belongs to Avonair. For the duration of the agreement you receive the right to use the Cockpit set up for you within your own business.

What you take with you on termination. You receive a package with what we delivered for you, including your business data in a common format. The package is provided as is. We do not include an installation or setup guide.

Rules on the transferred package. You receive a perpetual, non-transferable licence to use it, exclusively within your own business. Not to be resold, not to be used as the basis for competing services, and the underlying Avonair methods may not be copied or used elsewhere.

Avonair does not use your data for advertising, does not sell it and does not use it to train AI models.

9. Liability at a high level

We carry out our services with care. Liability for direct damage is limited to the amount the client has paid for Avonair Cockpit in the twelve months preceding the damage-causing event, with a maximum set out in the per-client Avonair Cooperation Agreement. No liability for indirect damage. Avonair gives no guarantee of accuracy or availability of data from connected providers.

10. No revenue, growth or time guarantee

Our slogan "Let our AI drive the growth of your business" is positioning, not a performance commitment.

11. Term and termination

Term and notice period are set out per client in the agreement. For Avonair Cockpit: you can terminate your use at any time by emailing info@avonair.ai; within 30 days your account data and connected data are deleted in line with the privacy policy. On termination you receive the package in line with section 8.

12. Governing law and disputes

Dutch law applies to these terms. We submit disputes to the competent court in the Netherlands.

13. Changes

We may adjust these terms from time to time. The current version is available at avonair.ai/en/terms and at this URL — that online version is the governing version.
